TERMS OF SERVICE

1. DEFINITIONS: In these Terms, 1.1. “Platform” means the Ocean Finvest website, mobile applications, and all related services. 1.2. “User” means any individual or entity that accesses or uses the Platform. 1.3. “Content” means all information, text, graphics, photos, videos, data, financial insights, market analysis, or other materials uploaded, downloaded, or appearing on the Platform. 1.4. “Financial Services” means the wealth management services, financial insights, market analysis, and related services provided through the Platform. 2. ACCOUNT REGISTRATIO 2.1. Account Registration: To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. 2.2. Account Types: The Platform supports different types of accounts based on the level of verification: 2.2.1. Basic Account: Requires only name and mobile number for registration. 2.2.2. Verified Account: Requires completion of KYC process. 2.2.3. Corporate Account: For business entities, requires additional business information. 2.3. Account Security: You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify Ocean Finvest immediately of any unauthorized use of your account. 2.4. Eligibility: You must be at least 18 years of age to use our Services. By creating an account, you represent and warrant that you are at least 18 years old. 3. SUBSCRIPTION MODEL 3.1. Subscription Terms: Users must subscribe to access premium features on the Platform. Subscription options include Monthly subscription or Yearly subscription. 3.2. Payments: All payments are processed through our third-party payment gateway. By using our Services, you agree to be bound by the payment gateway’s terms of service. We do not store any payment information on our servers. 3.3. Cancellation Policy: Users may cancel their subscription at any time with a minimum of 72 hours’ notice before the renewal date. To cancel, users must follow the cancellation procedure specified in their account settings. 3.4. Refund Policy: ONCE SUBSCRIPTION FEES ARE PAID, NO REFUNDS WILL BE ISSUED UNDER ANY CIRCUMSTANCES. This policy applies regardless of the reason for cancellation. 4. COMMISSION STRUCTURE 4.1. Commission Basis: In addition to subscription fees, we may charge commissions on certain transactions or services provided through the Platform. 4.2. Commission Rates: Commission rates will be clearly displayed on the Platform before any transaction is initiated. 4.3. Payment of Commissions: All commissions will be automatically calculated and charged at the time of the applicable transaction. 5. PLATFORM USAGE 5.1. User Obligations: As a User, you agree to: Provide accurate information for your account; Comply with all applicable laws and regulations; Make independent investment decisions based on your own judgment; Understand that all financial information provided is for informational purposes only; Leave honest and fair reviews based on actual experiences. 5.2. Prohibited Activities: You agree not to: Create fake accounts or impersonate others; Post false, misleading, or deceptive content; Harvest or collect user information without permission; Use the Platform for any illegal purpose; Attempt to gain unauthorized access to the Platform or other Users’ accounts; Post content that is offensive, harmful, or violates others’ rights; Use the Platform for money laundering, fraud, or any other illegal financial activities. 6. CONTENT & INTELLECTUAL PROPERTY 6.1. Platform Intellectual Property: The style, format, design, and functionality of the Platform are the proprietary intellectual property of Ocean Finvest India Pvt. Ltd. Users are prohibited from copying, modifying, or creating derivative works of the Platform’s distinctive elements. 6.2. Content Restrictions: You must not upload Content that: Infringes on intellectual property rights of others; Contains false, defamatory, or misleading information; Violates privacy rights of others; Contains malicious code or links; Constitutes spam or unauthorized commercial communications. 7. REVIEWS & RATINGS 7.1. Review Guidelines: Users may leave reviews and ratings for services based on genuine experiences. Reviews must be: truthful and based on actual experiences; Focus on the quality of service provided; Not contain offensive, abusive, or inappropriate language; Not include personal identifiable information about the Company beyond what is already public. 7.2. Review Moderation: Ocean Finvest reserves the right to remove reviews that violate these Terms without notice. We may, at our discretion, investigate reviews that are reported as false or defamatory. 8. FINANCIAL SERVICES & DISCLAIMERS 8.1. Not Financial Advice: The information provided on the Platform is for informational purposes only and should not be construed as financial, investment, legal, or tax advice. Users should consult with qualified professionals before making any investment decisions. 8.2. Market Risks: All investments involve risk, including the potential loss of principal. Past performance is not indicative of future results. Users acknowledge that market conditions are subject to change and that Ocean Finvest has no control over market performance. 8.3. Regulatory Compliance: Ocean Finvest complies with all applicable regulations set by the Reserve Bank of India (RBI) and the Securities and Exchange Board of India (SEBI). However, users are responsible for ensuring their own compliance with all applicable laws and regulations. 9. LIMITATION OF LIABILITY 9.1. Platform Role: Ocean Finvest is a wealth management platform providing financial insights and services. We do not guarantee the accuracy, completeness, or timeliness of the information provided on the Platform. 9.2. Service Availability: The Platform is provided on an “as is” and “as available” basis. We do not guarantee that the Platform will be uninterrupted, timely, secure, or error-free. 9.3. Liability: To the maximum extent permitted by law, Ocean Finvest’s liability for any claims arising out of or in connection with your use of the Services shall be limited to the amount you paid for the Services in the 12 months preceding the event giving rise to the claim. 10. TERMINATION 10.1. Termination by Ocean Finvest: Ocean Finvest reserves the right to suspend or terminate your account at any time for violations of these Terms or for any other reason at our sole discretion. 10.2. Termination by User: You may terminate your account at any time by following the procedures specified in your account settings. 10.3. Effect of Termination: Upon termination, your right to access and use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability. 10.4. Data Retention: Following account termination, your data will be retained for a period of 1 year and then permanently deleted. 11. DISPUTE RESOLUTION 11.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. 11.2. Informal Resolution: Prior to initiating any formal legal proceeding, parties agree to attempt to resolve any disputes through good faith negotiations. 11.3. Process for Platform Complaints: For complaints regarding the Platform: 11.3.1. An internal team appointed by Ocean Finvest will investigate the claim. 11.3.2. The matter will first be attempted to be resolved through amicable mediation. 11.3.3. If the grievance persists, the arbitration shall be administered in accordance with the provisions of the Arbitration and Conciliation Act, 1996, as amended from time to time. The seat and venue of arbitration shall be Mumbai, India, unless otherwise agreed by the parties. The language of arbitration proceedings shall be English. The arbitral award shall be in writing, reasoned, and final and binding on both parties. The award may include an award of costs, including reasonable attorneys’ fees and disbursements. 12. CHANGES TO TERMS: Ocean Finvest reserves the right to modify these Terms at any time. We will provide notice of significant changes through the Platform or by sending an email to the address associated with your account. Your continued use of the Platform after such modifications constitutes your acceptance of the revised Terms. 13. MISCELLANEOUS 13.1. Entire Agreement: These Terms constitute the entire agreement between you and Ocean Finvest regarding the use of the Services, superseding any prior agreements. 13.2. Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. 13.3. Waiver: The failure of Ocean Finvest to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. 13.4.
